Welcome to the UNIQUEONN Affiliate Program.

These Affiliate Program Terms & Conditions (“Terms”) govern your participation in the UNIQUEONN Affiliate Program (“Program”).

For the purposes of these Terms:

• “UNIQUEONN,” “we,” “us,” or “our” refers to UNIQUEONN.

• “Affiliate,” “you,” or “your” refers to an individual or entity that applies for, is approved for, or participates in the Program.

• “Referral” refers to a customer or sale attributed to an Affiliate through an authorized affiliate link, affiliate coupon code, or other approved tracking method.

By applying for or participating in the Program, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you should not apply for or participate in the Program.

1. Affiliate Program Eligibility and Application

Participation in the UNIQUEONN Affiliate Program is subject to approval.

Submitting an affiliate application does not automatically guarantee acceptance.

UNIQUEONN reserves the right to approve or reject an application at its discretion, including where information provided appears incomplete, inaccurate, misleading, suspicious, fraudulent, or inconsistent with the purpose of the Program.

There is currently no joining fee to apply for or participate in the standard UNIQUEONN Affiliate Program.

Applicants may promote UNIQUEONN through genuine channels including, but not limited to:

• Instagram

• Facebook

• YouTube

• WhatsApp

• Websites or blogs

• Friends and family

• Personal communities

• Other lawful promotional channels

You do not need to be a professional influencer to apply.

2. Affiliate Approval and Account Access

New Affiliate applications may be reviewed manually before activation.

Once approved, an Affiliate may receive access to an affiliate portal or dashboard where available information may include:

• Personal affiliate links

• Affiliate coupon codes

• Referral activity

• Commission activity

• Pending and approved referrals

• Payment or payout information

• Affiliate account settings

• Marketing resources, where available

Affiliates are responsible for maintaining the confidentiality and security of their login credentials.

Affiliate accounts may not be sold, transferred, rented, or shared with another person without prior written permission from UNIQUEONN.

3. Affiliate Commission Rate

Unless otherwise stated in your Affiliate dashboard or communicated by UNIQUEONN, the standard Affiliate commission rate is:

10% commission on approved product sales attributed to your Affiliate account.

There is currently no minimum order value required for an Affiliate to earn the standard 10% commission, provided the referred order is otherwise valid and approved under these Terms.

Commission is payable only on genuine, successfully completed and approved referral sales.

4. How Affiliate Commission Is Calculated

Affiliate commission is based on the applicable product value recognized for the referred order after applicable discounts and adjustments.

Unless otherwise expressly stated, commission is not paid on:

• Shipping charges

• Product taxes or GST

• Shipping taxes

• Tips

• Payment processing fees

• Service fees

• Other non-product charges

If an order is partially refunded, partially returned, adjusted, or otherwise reduced, the related Affiliate commission may also be reduced accordingly.

UNIQUEONN may introduce different commission rates, promotional commission rates, performance-based incentives, special campaigns, or Affiliate tiers in the future.

Any rate applicable to you will be communicated through the Affiliate portal, email, Program documentation, or other official UNIQUEONN communication.

5. Customer Affiliate Discount

Approved Affiliates may receive a personal Affiliate coupon code that they can share with customers.

Under the standard Program, referred customers may receive:

5% off UNIQUEONN orders with no minimum purchase required.

The Affiliate coupon may be used again on future purchases while the coupon remains active, unless UNIQUEONN later communicates a restriction, expiration, or Program change.

The 5% Affiliate discount is intended to give customers an ongoing reason to shop through their preferred UNIQUEONN Affiliate.

6. Discount Combination Rules

Affiliate coupon codes may be permitted to combine with certain:

• Product discounts

• Order discounts

• Shipping discounts

• Promotional campaigns

However, successful discount combinations depend on the settings and compatibility of each individual Shopify discount or promotion.

The fact that an Affiliate coupon permits combination does not guarantee that every other UNIQUEONN discount will permit combination.

Where another promotion specifically prevents discount stacking, Shopify checkout may apply only the permitted discount or combination.

UNIQUEONN reserves the right to restrict discount combinations for particular campaigns, products, sales events, or promotional periods where necessary.

7. Affiliate Coupon Codes

Affiliate coupon codes are created or authorized by UNIQUEONN or the Affiliate platform.

Affiliates may only promote coupon codes officially assigned or authorized for their account.

Affiliates must not:

• Create unauthorized UNIQUEONN coupon codes

• Advertise fake or misleading discounts

• Claim a larger discount than the code actually provides

• Represent an expired code as active

• Alter or manipulate assigned coupon codes

• Promote private or restricted UNIQUEONN codes without permission

• Misrepresent themselves as an official UNIQUEONN store or employee

If a customer uses an Affiliate link and an Affiliate coupon belonging to the same Affiliate, the Affiliate will not receive duplicate commission for the same order.

One order may only generate commission according to the applicable referral attribution rules.

8. Welcome Coupon for New Affiliates

Where enabled, a newly approved Affiliate may receive a separate one-time personal welcome coupon for their own UNIQUEONN purchase.

This welcome coupon is separate from the Affiliate coupon intended for customer referrals.

A welcome coupon:

• Is intended as an Affiliate benefit

• May be limited to one use

• Does not entitle the Affiliate to earn commission on their own purchase

• Remains subject to applicable discount rules and Program settings

UNIQUEONN may modify, suspend, or discontinue the Affiliate welcome coupon benefit at any time.

9. Self-Referrals Are Prohibited

Affiliates are not permitted to generate commission from their own purchases.

An Affiliate may not use their own:

• Affiliate link

• Affiliate coupon

• Referral code

• Alternate account

• Alternate email address

• Device

• Payment method

• Family or associate arrangement

for the primary purpose of artificially generating commission on their own purchase.

Where the Affiliate platform identifies a self-referral, the related commission may be denied automatically.

UNIQUEONN may also manually review suspected self-referrals.

Attempting to bypass self-referral protections may result in commission reversal, account suspension, or removal from the Program.

10. Referral Tracking

UNIQUEONN uses Affiliate tracking technology to attribute customer activity to Affiliates.

Tracking may include:

• Affiliate referral links

• Affiliate coupon codes

• Browser cookies

• Platform attribution technology

The standard referral cookie duration is currently 30 days.

This means that where tracking remains available, a customer who visits UNIQUEONN through an Affiliate link may be attributed to that Affiliate for up to 30 days.

Tracking may not function correctly where a customer:

• Rejects cookies

• Clears cookies

• Changes browsers

• Changes devices

• Uses privacy or tracking-blocking technologies

• Uses another Affiliate referral

• Uses another attribution method

• Completes an order in a way that prevents the platform from identifying the original referral

UNIQUEONN cannot guarantee commission where a referral cannot reasonably be verified or attributed by the Affiliate platform.

11. Pending and Approved Referrals

A tracked referral does not automatically mean that commission is immediately payable.

Referral commissions may initially appear as Pending.

UNIQUEONN currently uses manual referral approval so that orders may be reviewed before commission becomes payable.

Referral review may take into account:

• Successful payment

• Order legitimacy

• Delivery status

• Cancellation

• Return

• Refund

• Chargeback

• Fraud indicators

• Self-referral activity

• Coupon abuse

• Other suspicious activity

Only approved commission becomes eligible for payout.

12. Cancelled, Returned and Refunded Orders

Commission is not payable on sales that are ultimately invalid.

Commission may be denied, cancelled, reduced, or reversed for orders that are:

• Cancelled

• Returned

• Fully refunded

• Partially refunded

• Subject to a chargeback

• Subject to a payment dispute

• Unpaid

• Fraudulent

• Artificially generated

• Duplicated

• Manipulated

• Identified as prohibited self-referrals

• Otherwise determined to be invalid

For partially refunded or partially returned orders, commission may be recalculated based on the final retained product value.

Commission already recorded may be adjusted where a later refund, return, dispute, or reversal occurs.

13. Fraud and Artificial Activity

Affiliates must generate genuine customer interest and genuine purchases.

The following activities are prohibited:

• Fake orders

• Bot traffic

• Automated clicks

• Fake customer accounts

• Purchased or manipulated traffic intended solely to create commission

• Repeated artificial transactions

• Commission manipulation

• Coupon abuse

• Referral manipulation

• Misleading attribution

• Attempting to interfere with Affiliate tracking

• Creating false customer activity

UNIQUEONN reserves the right to investigate suspicious Affiliate activity.

During an investigation, commissions may remain pending.

Fraudulent or manipulated commission may be permanently denied.

14. Paid Advertising and Search Advertising

Affiliates may not use Google Ads, paid search advertising, trademark bidding, or other paid search campaigns involving UNIQUEONN without prior written authorization from UNIQUEONN.

This includes bidding on or advertising around terms such as:

• UNIQUEONN

• UNIQUEONN coupon

• UNIQUEONN discount

• UNIQUEONN official

• UNIQUEONN store

• Misspellings or variations of the UNIQUEONN brand name

Referrals identified as originating from unauthorized paid search advertising may be flagged and automatically denied.

UNIQUEONN may separately authorize paid advertising for selected Affiliates or campaigns in writing.

15. Marketing and Promotional Conduct

Affiliates are encouraged to promote UNIQUEONN in an authentic, accurate, and responsible manner.

Affiliates may promote through lawful online and offline channels.

Affiliates must not:

• Make false or misleading product claims

• Make unverified health, performance, quality, or guarantee claims

• Misrepresent pricing

• Misrepresent shipping or delivery information

• Misrepresent return or refund policies

• Claim to be an employee or official representative of UNIQUEONN

• Impersonate the UNIQUEONN website or social media presence

• Use misleading advertisements

• Send unsolicited spam

• Use offensive, illegal, discriminatory, deceptive, or harmful promotional content

• Publish false reviews

• Misrepresent customer experiences

• Engage in deceptive influencer or endorsement practices

Affiliate promotions should clearly distinguish the Affiliate from UNIQUEONN itself.

16. Affiliate Disclosure Requirements

Affiliates are responsible for complying with applicable advertising, endorsement, influencer, consumer-protection, privacy, and disclosure laws.

Where required, Affiliates should clearly disclose that they may earn a commission from purchases made through their referral link or Affiliate coupon.

A disclosure should be clear and understandable to the customer.

Examples may include:

“I may earn a commission if you purchase through my link.”

or

“Affiliate link — I may receive a commission from qualifying purchases.”

Affiliates are responsible for determining the disclosure requirements that apply to their own promotional channels.

17. UNIQUEONN Brand Assets and Intellectual Property

UNIQUEONN may provide approved:

• Logos

• Product images

• Banners

• Marketing creatives

• Promotional materials

• Campaign content

to Affiliates.

These materials may be used only for legitimate promotion of UNIQUEONN under the Affiliate Program.

All UNIQUEONN:

• Trademarks

• Logos

• Brand names

• Website content

• Product photographs

• Designs

• Marketing materials

• Intellectual property

remain the property of UNIQUEONN or their respective rights holders.

Participation in the Affiliate Program does not transfer ownership of any UNIQUEONN intellectual property to an Affiliate.

Affiliates must not:

• Sell UNIQUEONN brand assets

• Claim ownership of UNIQUEONN intellectual property

• Register confusingly similar trademarks or domains

• Create fake UNIQUEONN websites

• Misuse UNIQUEONN logos

• Present themselves as the official UNIQUEONN store

without prior written authorization.

18. Affiliate Portal and Account Information

Affiliates may use the Affiliate portal to review available Program information.

Information shown may include:

• Affiliate links

• Coupon codes

• Referral activity

• Pending commissions

• Approved commissions

• Payout information

• Account details

Portal information is provided for convenience and remains subject to verification, adjustment, cancellation, refund activity, fraud review, and these Terms.

Temporary technical errors or display delays do not create an entitlement to commission that is otherwise invalid under these Terms.

19. Payout Eligibility

Only approved Affiliate commission is eligible for payout.

Pending commission is not payable until it has been reviewed and approved.

An Affiliate may be required to provide accurate payout information through the Affiliate portal or another method specified by UNIQUEONN.

Depending on available payout methods, this information may include:

• UPI details

• Bank transfer details

• PayPal information

• Other approved payment information

Affiliates are responsible for ensuring that their payout information is correct and current.

UNIQUEONN is not responsible for delays or failed payments caused by incorrect information supplied by the Affiliate.

20. Payout Schedule and Minimum Payout

Applicable payout schedules, payout methods, processing periods, and any minimum payout threshold may be communicated through:

• The Affiliate dashboard

• Affiliate Program documentation

• Email

• Official UNIQUEONN communication

Where a minimum payout threshold applies, approved commission below that threshold may be carried forward until the required balance is reached.

No Affiliate is entitled to payment for:

• Pending commission

• Denied commission

• Reversed commission

• Refunded transactions

• Cancelled transactions

• Fraudulent referrals

• Invalid referrals

UNIQUEONN may temporarily hold a payout where a referral or Affiliate account is under investigation.

21. Taxes on Affiliate Earnings

Affiliates are responsible for understanding and complying with any tax, reporting, invoicing, GST, income-tax, or other obligations that may apply to their Affiliate earnings.

Where required by applicable law, UNIQUEONN may request additional information or documentation before processing certain payments.

Nothing in these Terms constitutes individual tax advice.

22. Affiliate Performance and Program Access

UNIQUEONN does not guarantee:

• Any specific amount of income

• Any minimum number of referrals

• Any minimum conversion rate

• Any guaranteed customer traffic

• Any guaranteed payout amount

Affiliate earnings depend on actual approved referral sales.

Any earnings examples, calculators, illustrations, or estimated figures displayed by UNIQUEONN are provided for informational purposes only and do not guarantee future earnings.

23. Suspension and Termination

UNIQUEONN may suspend, restrict, or terminate an Affiliate account where we reasonably believe that the Affiliate has:

• Violated these Terms

• Engaged in fraudulent activity

• Generated prohibited self-referrals

• Manipulated commissions

• Abused coupon codes

• Used unauthorized paid advertising

• Misrepresented UNIQUEONN

• Engaged in spam

• Engaged in unlawful conduct

• Created reputational harm to the brand

• Attempted to manipulate Affiliate tracking

• Repeatedly violated Program requirements

Where termination relates to fraud, abuse, manipulation, or invalid referrals, related unpaid commissions may be cancelled.

Legitimately approved commissions not associated with a violation will be handled in accordance with applicable Program rules and law.

24. Voluntary Withdrawal From the Program

An Affiliate may request removal from the UNIQUEONN Affiliate Program at any time.

Once removed, Affiliate links, codes, portal access, and Program benefits may be disabled.

25. Independent Affiliate Relationship

Participation in the Program does not create:

• An employment relationship

• Partnership

• Franchise

• Joint venture

• Agency relationship

• Employer-employee relationship

between UNIQUEONN and the Affiliate.

Affiliates participate independently.

Affiliates are responsible for their own:

• Promotional activities

• Business expenses

• Legal obligations

• Tax obligations

• Content

• Advertising

• Statements made to customers

Affiliates do not have authority to make commitments, warranties, contracts, or promises on behalf of UNIQUEONN.

26. Program Modifications

UNIQUEONN may update or modify the Affiliate Program from time to time.

Changes may include:

• Commission rates

• Customer discount rates

• Coupon rules

• Tracking periods

• Affiliate benefits

• Payout methods

• Payout thresholds

• Program eligibility

• Marketing rules

• Promotional campaigns

• Affiliate tiers

• Program technology

Where appropriate, material changes may be communicated through the Affiliate portal, email, website, or updated Terms.

Continued participation in the Program after updated Terms become effective constitutes acceptance of the updated Terms.

27. Program Availability and Technical Limitations

UNIQUEONN aims to maintain reliable Affiliate tracking and portal access, but uninterrupted operation cannot be guaranteed.

Technical limitations may arise from:

• Browser settings

• Cookie restrictions

• Device changes

• Third-party services

• Shopify

• Affiliate platform services

• Internet outages

• Tracking blockers

• Customer actions

• Platform interruptions

UNIQUEONN will not be responsible for commission that cannot reasonably be verified or attributed through available Affiliate tracking, subject to applicable law.

28. Privacy and Customer Information

Affiliates must respect customer privacy.

Affiliates must not attempt to obtain, misuse, sell, share, or otherwise exploit customer personal information received through the Program.

Customer information may only be used where permitted by UNIQUEONN, the Affiliate platform, applicable privacy law, and the purpose for which the information was provided.

Affiliates must not contact referred customers in a misleading, unlawful, or unauthorized manner.

29. No Guaranteed Earnings

The UNIQUEONN Affiliate Program provides an opportunity to earn commission through genuine product referrals.

It is not a guaranteed-income, investment, employment, or get-rich-quick program.

Any example showing potential Affiliate earnings is an illustration only.

Actual earnings depend on genuine approved product sales and may vary significantly between Affiliates.

30. Governing Rules and Applicable Law

These Terms should be interpreted together with applicable laws and regulations governing UNIQUEONN and the Affiliate’s activities.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Nothing in these Terms limits any rights that cannot lawfully be excluded or restricted.
